Internal Company Secretary and Legal Officer

This role is pivotal in overseeing our company’s legal and compliance framework. The ideal candidate will be instrumental in ensuring our adherence to all legal standards and internal policies, while also providing expert guidance on legal and compliance matters.

Key Responsibilities Include:

• Ensuring strict compliance with all relevant corporate laws and regulations.
• Drafting, meticulously reviewing, and managing all legal documents and contracts.
• Maintaining all statutory books, including comprehensive registers of members, directors, and secretaries.
• Preparing and accurately filing necessary documents with all regulatory authorities.
• Providing expert legal advice to management on matters of corporate governance and legal issues.
• Leading the preparation of board meetings, including the development of agendas, minutes, and resolutions.
• Serving as the primary liaison with external regulators and advisors.
• Overseeing the effective implementation of corporate policies and procedures.
• Conducting thorough legal research and remaining current with all regulatory changes.
• Effectively handling all Company Secretarial duties, ensuring full compliance with the Companies Act.
• Advising the organization on legal matters pertinent to the industry, encompassing Contract Law, company law, regulatory compliance, and other required areas.
• Providing expert advice on organizational policies.
• Conducting legal reviews of contracts and other documentation, assisting in the legalization of documents.
• Providing essential training and guidance to employees on compliance matters.
• Proactively reviewing any legislative changes that may impact the organization.
• Acting as the Liaison Officer with external legal firms or representing the organization in court proceedings.

Qualifications & Skills Required:

• A University degree in Law (LLB) is essential, coupled with a minimum of 4 years of relevant experience as a legal counsel and company secretary, preferably within the microfinance industry.
• Must be registered as an advocate of the High Court of Tanzania and possess a valid practicing License.
• A robust understanding of Labour and company laws and regulations.
• Prior experience working with boards and in court proceedings would be a significant advantage.
• Expert-level written and verbal communication skills in both English and Swahili.
• A proactive attitude, self-direction, and demonstrated emotional maturity.
• Exceptional multitasking capabilities and a keen eye for detail.
