Legal Counsel and Company Secretary

We are seeking a qualified and experienced Legal Counsel and Company Secretary to join Jubilee Group Tanzania.

Role Purpose

The Legal Counsel and Company Secretary will provide comprehensive legal advisory and company secretarial services to the Board of Directors and the Executive Management Team. This role is crucial for ensuring the Company's compliance with statutory, regulatory, and corporate governance requirements, managing legal and litigation risks, drafting and negotiating contracts, coordinating board and committee governance processes, and safeguarding the Company’s legal and reputational interests within Tanzania.

Main Responsibilities

Strategy

• Provide strategic legal counsel to the Board and Executive Management on matters affecting the Company's business, ensuring alignment with corporate objectives and risk appetite.
• Advise on the legal and regulatory implications of new products, business initiatives, bancassurance arrangements, and strategic partnerships within the insurance sector.
• Monitor developments in Tanzanian law, TIRA regulations, and industry practice, advising Management and the Board on implications and required actions.
• Develop and implement the Company's legal risk management framework and corporate governance strategy in line with Group policy.

Operational

• Draft, review, and negotiate contracts and agreements (e.g., reinsurance treaties, agency and bancassurance agreements, vendor and outsourcing contracts, MOUs) to protect the Company's legal interests.
• Manage litigation and disputes involving the Company, instructing and supervising external counsel where required, and providing Management with regular updates on case status, exposure, and reserves.
• Provide day-to-day legal advice to business units on underwriting, claims, distribution, and other operational matters.
• Maintain the Company's contracts register and legal risk register, tracking key obligations, renewal dates, and exposures.
• Liaise with the Tanzania Insurance Regulatory Authority (TIRA), BRELA, and other statutory bodies on licensing, filings, and compliance matters.
• Support HR on investigations, disciplinary matters, and other employee relations matters requiring legal input, including advice under the Employment and Labour Relations Act, 2004.
• Draft and review internal policies to ensure alignment with applicable laws, including the Insurance Act, Companies Act 2002, ELRA 2004, and Data Protection legislation.

Company Secretarial & Corporate Governance

• Serve as Company Secretary to the Boards of Jubilee Life Insurance Corporation of Tanzania and Jubilee Health Insurance Corporation of Tanzania, ensuring effective functioning of the Board and its Committees.
• Organise and coordinate Board and Committee meetings, including preparation of agendas, board packs, and minutes for both entities.
• Ensure Board and Committee decisions and resolutions are properly recorded, communicated to relevant stakeholders, and implemented.
• Maintain statutory registers and records in compliance with the Companies Act, 2002 and TIRA corporate governance guidelines.
• Advise the Board on corporate governance best practice, directors' duties and responsibilities, and evolving regulatory expectations.
• Coordinate the annual Board evaluation process and Director induction and training programmes.
• Ensure timely and accurate statutory filings with BRELA, TIRA, and other relevant regulatory bodies.
• Manage the Company's corporate governance framework, ensuring alignment with the Group's governance policies and local regulatory requirements.

Risk & Compliance

• Support the Compliance function in identifying, assessing, and mitigating legal and regulatory risks across the business.
• Coordinate the Company's responses to regulatory inspections, inquiries, and audits from TIRA and other authorities.
• Ensure adequate insurance and indemnity arrangements, including Directors' and Officers' (D&O) cover, are in place to protect the Company and its directors.
• Escalate significant legal and governance risks to the Board, Executive Management, and Group Legal Counsel in a timely manner.

Qualifications & Experience

• Bachelor of Laws (LLB) degree from a recognised university.
• Postgraduate Diploma in Legal Practice and admission as an Advocate of the High Court of Tanzania.
• Minimum 7 years' post-admission legal practice experience, with at least 4 years in an in-house legal or company secretarial role.
• Prior experience in the insurance or broader financial services sector is preferred.
• Demonstrated experience serving as Company Secretary or directly supporting Board governance processes.
• Sound understanding of corporate governance principles and company secretarial practice.
