DCB Overview: DCB is a fully-fledged retail and commercial bank in Tanzania, offering banking services to individuals, small to medium-sized businesses, as well as large corporate clients. The bank has a network of branches, Wakala Agents, and ATMs serving over 3 million customers across the country. DCB was listed on the Dar es Salaam Stock Exchange in 2008.
Key Duties and Responsibilities
Providing effective leadership in collaboration with the management team.
Facilitating setting up of appropriate corporate governance structures for managing bank operations.
Reviewing, setting up, and approving corporate governance structures and significant expenditures proposed by the management.
Ensuring key strategic risks are identified and mitigated with effective internal controls.
Monitoring corporate performance to evaluate strategic implementation and oversight of operating results.
Reviewing and approving material transactions not in the ordinary course of activities at the bank.
Reporting annually to shareholders as required by DCB’s Memorandum and Articles of Association.
Selecting, monitoring, evaluating performance, and compensating executive management level positions.
Ensuring ethical behavior and compliance with laws, regulations, auditing, accounting principles, and company's governing documents.
Assessing board effectiveness in fulfilling responsibilities as prescribed by Bank of Tanzania and Capital Markets and Securities Authority.
Person Specifications
A bachelor’s degree in banking and finance, economics, audit, business development, law, human resources, or related fields. A postgraduate qualification is an added advantage.
At least 10 years’ experience as a director in medium to large size businesses with a proven track record of effective organizational transformation.
More than 3 years’ experience as a board member and on a board committee. Experience with a listed company is an added advantage.
A thorough understanding of financial management, regulatory compliance, board management, and investment acumen. Banking and regulatory experience are additional assets.
Highly networked individual capable of building and maintaining beneficial relationships for the organization.
No current member of management or board of a financial institution with revoked licenses or in liquidation.
No criminal record, history of bankruptcy (including related parties), and clean credit records are mandatory.
